As In-House Counsel at Procedureflow, you will work closely with executives, operations, and product teams, gaining direct exposure to how legal decisions shape strategy, revenue, and product development. The Role
Procedureflow is seeking a business-minded In-House Corporate Counsel to support the company’s continued growth and operational maturity. Reporting to the VP of Finance & Administration, you will be the company’s primary internal legal resource, working cross-functionally to manage legal risk while enabling the business to move quickly and responsibly.
This role is well-suited to a lawyer with 3–5 years of corporate or commercial experience who enjoys being close to the work, solving practical problems, and developing a broad in-house skill set across commercial, governance, and regulatory matters.
Reports To: VP, Finance & Administration
Key Responsibilities
Corporate & Strategic Support
- Advise the executive team and Board of Directors on corporate governance, legal risk, and strategic initiatives
- Support Board and Chair functions, including preparation of materials, resolutions, minutes, and governance documentation
- Maintain corporate records
- Coordinate with external counsel on fundraising, corporate structuring, and strategic transactions
Commercial & Operational Legal
- Lead day-to-day commercial contracting, including SaaS agreements, MSAs, professional services, reseller, and partnership agreements
- Partner closely with Engineering, Sales, Product Development, Professional Services, Marketing and Customer Success to support revenue generation while managing risk
- Develop and maintain practical templates, playbooks, and contracting processes
AI, Data Privacy & Regulatory
- Work closely with Product and Engineering to support AI-related legal and regulatory considerations, including data usage, model development, transparency, and customer obligations
- Maintain policies related to data governance, information security, and responsible AI use
- Monitor and interpret evolving technology, privacy, and AI regulation and translate it into clear business guidance
Risk, Compliance & Employment
- Support Human Resources with employment law matters, including hiring, terminations, equity compensation, and workplace policies
- Assist with dispute management and claims, coordinating with outside counsel as required
- Help establish scalable legal and compliance processes appropriate for a growing SaaS company
Qualifications
Required
- Practicing lawyer and member in good standing of the Law Society of New Brunswick, or other Provincial Law Societies
- 2–5 years’ experience in private practice or in-house, focused on corporate and/or commercial law
- Strong foundation in commercial contracting and corporate governance
- Practical, business-oriented judgment with the ability to balance risk and commercial objectives
- Comfortable working autonomously and managing competing priorities in a fast-paced environment
- Strong communication and relationship-building skills
Preferred
- Experience supporting manufacturing, technology or SaaS businesses
- Exposure to venture-backed companies, fundraising, or M&A
- Familiarity with data privacy, security, and technology regulation
